Terms and Conditions
These terms govern use of the XSD Precision website, quotations, samples, products and project-related services.

1. Scope and contracting party
The website is operated for XSD Precision business communications. A quotation, sample request or online inquiry does not create a binding supply agreement. An order becomes binding only after written acceptance, confirmed specifications and agreed commercial terms.
2. Product and technical information
Website descriptions, vehicle coverage, drawings, images and engineering guidance are for evaluation. Final suitability depends on the confirmed part number, vehicle, market, frequency, valve, drawing revision, material, tolerance and validation requirements.
3. Quotations, prices and payment
Quotations are valid for the stated period and scope. Taxes, duties, tooling, testing, packaging, freight and bank charges are included only when expressly stated. Payment terms are defined in the accepted quotation or sales agreement.
4. Samples, tooling and custom projects
Samples and prototypes are supplied for evaluation and may not represent final production capability. Custom parts, molds, labels, packaging and application-specific TPMS projects require written specification and revision approval before production.
5. Delivery, inspection and acceptance
Delivery dates are estimates until confirmed. Buyers should inspect shipments promptly and report quantity, transport or visible quality issues with supporting records within the agreed claim period.
6. Quality, compatibility and warranty
Warranty applies only to confirmed specifications and agreed use conditions. Vehicle compatibility, programming, installation and relearn results depend on correct application data, tools, procedures and vehicle condition. Unauthorized modification, misuse or installation error may invalidate a claim.
7. Intellectual property and confidentiality
Website content, drawings, software, brands and technical materials remain the property of their respective owners. Confidential drawings and project data are used for evaluation and delivery purposes and remain subject to applicable NDA or project terms.
8. Limitation and force majeure
To the extent permitted by law, liability is limited to the affected products or services under the applicable agreement. Neither party is liable for delay caused by events beyond reasonable control, including natural disasters, government restrictions, logistics disruption or critical supply interruption.
9. Governing documents and changes
Where an accepted quotation, purchase order, NDA, quality agreement or supply contract conflicts with these website terms, the signed or specifically accepted document controls. We may update these terms by publishing a revised effective date.

3. 报价、价格与付款
报价仅在注明的有效期和范围内有效。税费、关税、模具、测试、包装、运输和银行费用，只有在报价明确列出时才视为包含。付款条件以双方接受的报价或销售协议为准。
4. 样品、模具与定制项目
样品和原型用于评估，可能不代表最终量产状态。定制零件、模具、标签、包装和特定应用 TPMS 项目，必须在生产前完成书面规格和版本确认。
5. 交付、检验与验收
交期在正式确认前属于预计时间。买方应及时检验货物，并在约定的索赔期限内提交数量、运输或可见质量问题的证据。
6. 质量、适配与质保
质保仅适用于已经确认的规格和约定使用条件。车型适配、编程、安装和重学习结果取决于正确的车型资料、工具、操作流程及车辆状态。未经授权的改装、误用或安装错误可能导致质保失效。
7. 知识产权与保密
网站内容、图纸、软件、品牌和技术资料的权利归各自权利人所有。客户提供的保密图纸和项目资料仅用于评估与交付，并受适用的保密协议或项目条款约束。
8. 责任限制与不可抗力
在法律允许的范围内，责任限于相关协议下受影响的产品或服务。对于自然灾害、政府限制、物流中断或关键供应中断等超出合理控制范围的事件，双方不承担延迟责任。
9. 文件优先顺序与更新
如已接受的报价、采购订单、保密协议、质量协议或供货合同与本网站条款冲突，以双方签署或明确接受的文件为准。我们可通过更新生效日期修订本条款。
